As part of this, you will:
Maintain the statutory registers and other corporate records, including the Group Structure Chart, for UK subsidiaries and work with overseas colleagues and external company secretarial service providers to ensure records are maintained for overseas subsidiaries and JV companies.
Work with Divisional legal teams and other Group function teams on subsidiary related projects including formations, acquisitions, disposals, restructurings and related transactions.
Support the Assistant Company Secretary and Interim Deputy Company Secretary to ensure compliance with statutory and regulatory requirements for Serco Group plc, administering insider and confidential project lists, preparations for the Annual General Meeting, and the drafting and verification process for the Annual Report and Accounts.
Support the smooth running of Board and Committee meetings, including the collation and distribution of papers.
Liaise with external service providers including the registrar, to ensure smooth running of the department and its activities.
What you'll need to do the role
You will be a graduate (preferably with a legal background) and work, or have worked, as a Company Secretarial Assistant within a plc Company Secretariat.
You will have the desire to qualify as a Chartered Secretary through the CGI Chartered Governance Qualifying Programme and a commitment to study.
A core part of this role is building strong working relationships and being able to manage multiple, multi-level stakeholders, for this you will need to possess strong communication, organisational and time management skills.
Due to the nature of the role, you will need to work to a degree of confidentiality and discretion, understanding the need to keep information safe and secure.
You will have a proven working knowledge of Microsoft Office applications particularly Word, Excel, PowerPoint and Outlook.
