Permanent, Full Time
Up to £45,000 PA DOE + Benefits

Here at Serco we're looking for a Company Secretarial Assistant to join a growing, caring team with a revitalised strategy to deliver a best-in-class Company Secretariat function to be proud of at Serco Group plc, a highly diversified and global business, with a wonderfully supportive and experienced PLC Board of Directors.

You will gain experience in all aspects of company secretarial work, supporting the provision of an efficient and effective company secretarial service to the Group, ensuring that all statutory and other regulatory compliance requirements are met.

You will be a passionate and determined governance professional, who takes pride and care in each innovation towards our ultimate vision.  We value open and honest, empathetic communication, combined with a superb sense of humour, trust and collaboration.

If you share our approach to governance delivery and are excited by our vision, then do peruse the Success Profile for this role and apply with your CV - we look forward to you joining us soon on what will be a fun and fascinating, as well as at times (let's be honest!) frustrating, but ultimately, highly satisfying governance adventure!

As part of this, you will:

  • Maintain the statutory registers and other corporate records, including the Group Structure Chart, for UK subsidiaries and work with overseas colleagues and external company secretarial service providers to ensure records are maintained for overseas subsidiaries and JV companies.

  • Work with Divisional legal teams and other Group function teams on subsidiary related projects including formations, acquisitions, disposals, restructurings and related transactions.

  • Support the Assistant Company Secretary and Interim Deputy Company Secretary to ensure compliance with statutory and regulatory requirements for Serco Group plc, administering insider and confidential project lists, preparations for the Annual General Meeting, and the drafting and verification process for the Annual Report and Accounts.

  • Support the smooth running of Board and Committee meetings, including the collation and distribution of papers.

  • Liaise with external service providers including the registrar, to ensure smooth running of the department and its activities.

What you'll need to do the role

You will be a graduate (preferably with a legal background) and work, or have worked, as a Company Secretarial Assistant within a plc Company Secretariat.

You will have the desire to qualify as a Chartered Secretary through the CGI Chartered Governance Qualifying Programme and a commitment to study.

A core part of this role is building strong working relationships and being able to manage multiple, multi-level stakeholders, for this you will need to possess strong communication, organisational and time management skills.

Due to the nature of the role, you will need to work to a degree of confidentiality and discretion, understanding the need to keep information safe and secure.

You will have a proven working knowledge of Microsoft Office applications particularly Word, Excel, PowerPoint and Outlook.

Don't meet every single requirement? Serco is proud to be a diverse, inclusive, and authentic workplace, so if you're excited about this role but your experience does not align perfectly with everything in the Success Profile, we encourage you to apply anyway. You may be who we are looking for!
